Terms and Conditions of Sale

Effective October 30, 2026

These terms apply to every order you place with American Professional Manufacturing, Inc. ("APM", "we", "us"), whether you order on this website, by email, by phone or with a purchase order. 1. Who we are

American Professional Manufacturing, Inc. is a California corporation located at 154 Coyado Ave, Modesto, CA 95350. We make body bags and related products in the USA and resell mortuary, medical and safety supplies.

2. Accounts

This store is for business and government customers. Accounts are set up by invitation.
You are responsible for everything ordered under your login. Keep your password private and tell us right away if you think someone else has used it.
We may suspend an account that is misused or past due (see section 6).

3. Prices and quotes

Prices are in U.S. dollars. Contract prices shown after you log in apply only to your account.
A quote is valid for the period written on it, or 30 days if none is stated.
Prices do not include freight or sales tax unless the quote or invoice says so.
We may correct obvious pricing or typing errors, even after an order is placed. If a correction changes your total, we will contact you before we ship.

4. Orders

An order is accepted when we confirm it. Placing an order or a request for quote does not by itself create a contract.
These terms apply even if your purchase order includes different or additional terms. Other terms only apply if we agree to them in writing.
Government orders: if your order is placed under a government contract that requires specific clauses (for example, FAR or state procurement terms), those required clauses apply where they conflict with these terms.

5. Lead times

Items we make are made to order. We will give you an estimated ship date when you order.
Stock items usually ship within 2 to 3 business days.
Ship dates are estimates, not guarantees. We are not responsible for delays caused by carriers, weather, material shortages or other events outside our control, and we will tell you if your order is going to be late.

6. Payment

Approved accounts: payment is due within 30 days of the invoice date (Net 30), unless your invoice states different terms.
All other orders: payment is due before the order ships.
Credit cards: a 2.5% surcharge is added to payments made by credit card. It is shown on your invoice. Debit cards are not surcharged.
Late payment: if an invoice is past due, we may put new orders on hold and move your account to prepayment. Past-due balances are charged 1.5% per month (18% per year), or the highest rate allowed by law if that is lower. You agree to pay reasonable costs of collecting past-due amounts.

7. Sales tax

We add California sales tax and any other tax we are required to collect. If you are tax-exempt, send us your exemption or resale certificate before you order. We cannot refund tax on orders already invoiced without a valid certificate.

8. Shipping and local pickup

Unless we agree otherwise, we choose the carrier and freight is added to your invoice.
Some items, such as cremation containers and trays, are local pickup only at our Modesto plant. The product page says so.
Ownership and risk of loss pass to you when we hand the goods to the carrier, or when you pick them up.

9. Damage, shortages and wrong items

Please check your shipment when it arrives. Note any visible damage on the delivery receipt, and tell us about damage, shortages, defects or wrong items within 10 days of delivery. Send photos if you can. We will replace the items or credit you, at our choice, at no charge to you.

10. Returns

Unused stock items in their original, unopened packaging may be returned within 30 days of delivery, with our approval first. Contact us for a return authorization; returns sent without one will not be accepted.
Approved returns are subject to a restocking fee of up to 20%. You pay return freight.
Body bags and other items we make can be returned only for a quality defect (see sections 9 and 12).
Not returnable: custom and special-order items, and opened single-use, medical or personal protective items, except for a quality defect.
Returns for quality defects or our mistakes are free: no restocking fee, and we pay return freight.

11. Cancelling an order

Stock items can be cancelled at no charge until they ship.
Made-to-order items cannot be cancelled once production has started.

12. Warranty

We warrant that our products are free from defects in materials and workmanship when delivered. If a product is defective, tell us promptly and we will replace it or credit you, at our choice. This warranty does not cover misuse, overloading beyond the rated capacity, improper storage, or normal wear. Products we resell carry their manufacturer's warranty. Except as stated here, we make no other warranties, express or implied, including any implied warranty of merchantability or fitness for a particular purpose.

13. Limit of liability

Our total liability for any claim related to an order is limited to the price you paid for the products involved. We are not liable for indirect, incidental or consequential damages, such as lost profits or delays, to the extent the law allows.

14. Using this website

We try to show products, photos and specifications accurately, but colors and details can vary. Ask us if a detail matters to your order.
Website content, photos and the APM name and logo belong to APM. Do not copy them for commercial use without our written permission.
Do not misuse this website, try to break its security, or collect data from it with automated tools.

15. Governing law

These terms are governed by the laws of the State of California. Any legal action will be brought in the state or federal courts for Stanislaus County, California.

16. Changes

We may update these terms. The version posted on this page when you place an order applies to that order.
